| D & P Communications, Inc., (D&P) originally started as just a telephone company, the Deerfield Farmers' Telephone Company (DFTC). DFTC was organized in 1898 to offer telephone services to the Deerfield and Petersburg area. Deerfield Farmers' Telephone Company was Incorporated in 1908, at that time if someone subscribed to phone service from DFTC they were given one share of stock in the company. DFTC provides local exchange service and access to the public switched telephone network. In 1994, the Company was reorganized as part of D & P Communications, Inc. This was in response to the need to provide and market non-regulated services in an effective and timely manner to compete with our competition. Also the subsidiary of D&P Cable was formed to allow the company to offer cable and internet services to the Petersburg and Deerfield area. |

| As D & P Communications, Inc., our company has continued to expand the range of services as well as expand and compete in many Verizon exchanges. We offer Local Phone, Cable Television, Internet and Long Distance services in Petersburg, Deerfield, Dundee, Blissfield, Riga, Tecumseh and Britton. We currently offer cable and high-speed internet to Palmyra, Morenci, and Hudson. D&P will be adding local and long distance phone service to these areas in late 2008. D & P Communications Inc., is currently expanding our services to the Tecumseh area. We will begin offering all of our services to the city of Tecumseh beginning in September of 2008 and will be complete the expansion by the end of 2009. |

| D&P also provides many services to improve communication between area hospitals. D&P currently connects Bixby and Herrick Hospitals, as well as the hospitals in Hudson, Tecumseh, Clinton, Morenci and many of their Pro-Medica sites on a private network that runs on fiber optic cable owned and operated by D&P. We have also been extremely involved with Mercy Hospital and their Dundee site for connectivity and data services. We have signed agreements with the City of Adrian and Lenawee County to connect all their facilities together and operate on our network as well. |

| In 2009, D&P will continue to be involved with all legislation to ensure the security of our operations. We will also look forward to all the growth and competition we will be engaging in. We will continue to look at new markets as well as diversify our services in existing service areas. There are some great technologies coming out on the market and we will be constantly researching the technologies that will best fit into our footprints and the market place. D&P Communications will also continue to offer the same great service and reliability that has allowed us to succeed in Southeast Michigan. |
